1. Acceptance of Terms

By placing an order, accepting a quotation, approving artwork, making a payment, or engaging NVERTEX for any service, the customer agrees to these Terms & Conditions.

These terms apply to printing, stamping, web design, web application development, and related services provided by NVERTEX.

2. Orders & Quotations

  1. Orders will be processed according to the specifications agreed between NVERTEX and the customer.
  2. Quotations are based on the requirements known at the time of preparation.
  3. Any change in quantity, material, design, functionality, specification, or scope may result in a revised quotation.
  4. A quotation does not automatically include services or features that are not specifically mentioned in it.

3. Printing Services

  1. Printing will be carried out according to the approved specifications and artwork.
  2. The customer is responsible for checking and approving the final artwork before production.
  3. Minor variations in colour, paper texture, cutting, finishing, and print appearance may occur due to printing processes, materials, equipment, and differences between digital displays and printed output.
  4. Production timelines are estimates and may vary depending on quantity, material availability, workload, approvals, and circumstances beyond NVERTEX's reasonable control.

4. Stamp Services

  1. All customized stamps are produced according to the information and artwork provided or approved by the customer.
  2. Customers must carefully verify all text before production.
  3. NVERTEX will not normally be responsible for mistakes originating from customer-supplied or customer-approved information.
  4. The customer is responsible for ensuring that the requested stamp does not violate any applicable law, regulation, trademark, or third-party right.

5. Web Design

  1. Website design and development will be performed according to the agreed scope of work.
  2. The customer must provide all necessary content, images, logos, text, documents, product information, credentials, and other materials required for the project.
  3. Additional pages, features, integrations, redesigns, revisions, or functionality not included in the original scope may be charged separately.
  4. Final deployment, handover, or transfer of applicable project deliverables may be subject to full payment.

6. Web Application Development

  1. Web applications will be developed according to the approved requirements and project scope.
  2. Development timelines depend on the complexity of the project and the timely availability of customer requirements, content, approvals, credentials, and third-party services.
  3. Features requested after the agreed scope has been finalized may be treated as additional development work.
  4. Changes made by the customer or another developer after handover may affect application functionality and may require additional charges for troubleshooting or correction.

7. Third-Party Services

Websites and web applications may depend on third-party services, including but not limited to:

  1. Domain registrars
  2. Web hosting providers
  3. SSL certificate providers
  4. Payment gateways
  5. SMS and email services
  6. APIs
  7. Maps and location services
  8. Cloud services
  9. Premium plugins
  10. Software licences
  11. External authentication services

NVERTEX is not responsible for outages, price changes, policy changes, service interruptions, API changes, account suspension, or technical limitations imposed by third-party providers.

8. Customer Content & Intellectual Property

  1. The customer is responsible for ensuring that all content, images, logos, trademarks, documents, fonts, software, and other materials supplied to NVERTEX may legally be used.
  2. NVERTEX will not be responsible for claims arising from unauthorized content supplied by the customer.
  3. Ownership, licensing, source-code access, design files, and other intellectual-property rights for a web project will be governed by the quotation or separate agreement where applicable.
  4. Third-party software, plugins, themes, fonts, APIs, and other licensed materials remain subject to their respective licences and terms.

9. Website & Application Maintenance

Unless specifically included in the quotation, ongoing maintenance is not automatically included after completion of a website or web application.

Maintenance may include:

  1. Bug fixing
  2. Security updates
  3. Content updates
  4. Server configuration
  5. Database maintenance
  6. Backup management
  7. Feature modifications
  8. API updates
  9. Plugin updates
  10. Technical support

Such services may be provided under a separate maintenance agreement or charged separately.

10. Data & Backup

Customers should maintain appropriate backups of important business information and website/application data.

Where backup services are provided by NVERTEX, the scope, frequency, retention period, and restoration terms will depend on the applicable service agreement.

NVERTEX cannot guarantee recovery from every possible hardware failure, server failure, cyber incident, third-party outage, accidental deletion, or other unforeseen event unless a specific backup and recovery service has been agreed.

11. Delivery & Approval

  1. Customers must review delivered products and services within a reasonable period.
  2. For physical products, customers should inspect the order after delivery.
  3. For websites and web applications, customers should review the delivered system and communicate any issues or required corrections within the agreed review period, where applicable.
  4. Acceptance or continued use of the delivered product or service may be treated as acceptance of the agreed scope.

12. Limitation of Liability

NVERTEX will make reasonable efforts to provide its services professionally and according to the agreed specifications.

However, NVERTEX shall not be responsible for indirect losses, loss of business, loss of profits, loss of data, third-party service failures, or other consequential losses arising from circumstances beyond NVERTEX's reasonable control, except where otherwise required by applicable law.

13. Uncontrollable Events

NVERTEX shall not be liable for delays or inability to provide services caused by circumstances beyond its reasonable control, including natural disasters, power outages, internet failures, server failures, transportation disruptions, supplier delays, government restrictions, strikes, cyber incidents, or third-party service interruptions.

14. Changes to Terms

NVERTEX reserves the right to update or modify these Terms & Conditions from time to time.

The terms applicable to an order or project will generally be those accepted at the time of the relevant transaction or agreement.

15. Dispute Resolution

Any dispute concerning an order or service should first be addressed through direct communication between the customer and NVERTEX with the intention of reaching an amicable resolution.

If the matter cannot be resolved mutually, the parties may pursue remedies available under applicable law.
